Institutional Terms of Service

Human Decision-Making Authority: Intellectla AI provides real-time context and structured insights. All academic grading, admissions approvals, and disciplinary decisions remain under educator and administrator governance.

1. Acceptance of Terms

By executing an institutional service agreement or accessing the Intellectla platform, the educational institution ("Customer" or "Institution") agrees to be bound by these Institutional Terms of Service. Individual end-users access the platform under authorized institutional credentials.

2. Eligibility & Institutional Authority

Individuals executing service orders on behalf of an institution represent and warrant that they possess legal authority to bind the university, college, school district, or educational organization.

3. Institutional Accounts & Provisioning

The Institution is responsible for provisioning and de-provisioning user accounts for faculty, administrative staff, students, and guardians in accordance with internal governance policies.

4. Student Accounts & Protections

Student accounts are provisioned exclusively for legitimate academic and administrative purposes. Students retain the right to access their personal academic telemetry as authorized by the Institution.

5. User Responsibilities

Users agree not to compromise system integrity, probe security perimeters, bypass authentication barriers, or input malicious payloads into the semantic search engine.

6. Institutional Data Ownership

As between Intellectla and the Institution, the Institution retains all right, title, and ownership in and to all Institutional Data, Student Records, and Academic Curricula.

7. AI Services & Human Oversight

Intellectla's automated analytics, prerequisite verifications, rubric generators, and predictive risk flags are advisory tools designed to augment educators and administrators. The Institution maintains sole responsibility for admissions decisions, final grading, disciplinary actions, and academic degree conferral.

8. Acceptable Use Policy

The platform may not be used to generate unlawful content, harass individuals, or violate educational data protection laws in applicable operating jurisdictions.

9. Third-Party Integrations

The platform allows integration with third-party student management, identity (SAML/SSO), and financial systems. The Institution is responsible for ensuring authorization for connected third-party APIs.

10. Intellectual Property Rights

Intellectla Inc. retains all intellectual property rights in the software, algorithms, UI components, and trademark designs powering the platform.

11. Confidentiality

Each party agrees to safeguard confidential institutional information with the same standard of care used to protect its own proprietary materials.

12. Security Warranties

Intellectla warrants that it employs industry-standard cryptographic encryption, access controls, and tenant isolation to prevent unauthorized data exposure.

13. Service Availability & Support

Intellectla endeavors to maintain 99.9% uptime for core database and search query services, excluding scheduled maintenance windows announced in advance.

14. Disclaimers

Except as expressly stated in a master institutional agreement, the service is provided "as is" without warranties of uninterrupted availability.

15. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages.

16. Indemnification

Each party agrees to indemnify the other against third-party claims arising from gross negligence or intentional misconduct, subject to statutory limits for public institutions.

17. Agreement Termination

Either party may terminate an institutional deployment in the event of material uncured breach following standard thirty (30) day notice periods.

18. Governing Law & Jurisdiction

These terms shall be governed by the laws specified in the applicable institutional service order, accommodating public institutional statutory requirements.

19. Modifications to Terms

Any material changes to these terms will be communicated to designated institutional administrators prior to taking effect.
